Volunteer Agreement

1. Volunteer Assignment 

 

1.1 When you volunteer with us, you should comply with our procedures and policies which have been notified to you from time to time, and you acknowledge that you have read, understood and will comply with the Terms of Use of the Gratitude Hub (in particular those in relation to legal liability) and the Code of Conduct for Volunteers attached to this letter.

 

1.2 You agree that, to the fullest extent permitted under all applicable laws, you are solely responsible for your own loss, damage or any injury that may arise as a result of or in connection with any volunteering assignments.

 

1.3 At all times while volunteering with us, you should comply with all applicable laws, rules and regulations.  Without limiting the generality of the Terms of Use of the Gratitude Hub, you further agree to indemnify the Company in full against any liability, costs or expenses that may arise as a result of or in connection with any loss, damage or injury caused to the Company, our employees, contractors, other volunteers or any third party by your wilful or negligent defaults, act or omissions. This will continue to apply after this letter is terminated.

2. Relationship of Parties 

 

2.1 There is no employment relationship between you and the Company, and you are therefore not entitled to any of the employment rights or benefits which would be applicable to our employees. Further, the Company and you are not partners, joint venturers or agents of the other. You are acting on a voluntary basis in offering to assist us in volunteering assignments.

 

2.2 You do not have any authority to, and shall not, enter into any contract or agreement for, on behalf of or in the name of the Company, or to legally bind the Company to any commitment, liability or obligation.

3. Termination 

 

3.1 You may terminate this letter at any time at your absolute discretion. The Company would appreciate it if you could provide us with as much prior notice as possible of the termination of this letter.  We may also cease to offer opportunities for you to assist us at any time at our absolute discretion. In which case, we shall provide you with reasonable notice to terminate this letter.

 

3.2 On termination of this letter or at any other time at our request, you must return, (or at the written request of the Company, destroy,) all property, records, documents, information and files in your possession which belong or relate to us (including any documents or materials or copies containing any Confidential Information).

4. Confidentiality 

 

4.1 In the course of your volunteering, you will have access to information of a confidential or secret nature (“Confidential Information”) relating to (a) the Company, (b) any of its employees, customers, contractors, other volunteers, partner, affiliate or supplier (including but not limited to Po Sum Company Limited) and/or (c) the users of the Gratitude Hub (the “Relevant Persons”). Such Confidential Information includes but is not limited to personal information and circumstances, marketing plans, event plans, strategies, financial information, forecasts, personnel information, or any information which you have been told is confidential or which you might reasonably expect the Company would regard as confidential, or any information which has been given to the Company or other Relevant Persons in confidence by any Relevant Persons. 

4.2 You should maintain the secrecy and confidentiality of all such Confidential Information at all times.  During the course of your volunteering and after this letter is terminated, you should not, except with our written consent or as may be necessary for the proper performance of your duties as a volunteer of the Company or as required by law or other regulatory body:

 

(a) modify or reverse engineer to make copies, notes or records of the Confidential Information for any purpose; or

(b) use, or modify any Confidential Information for your own use or benefit or the use or benefit of any third party.

 

5. Intellectual property 

 

5.1 You agree that ownership of any intellectual property relating to your volunteering assignments belongs to the Company. You further agree to grant to the Company, free-of-charge, any copyright subsisting in any works of authorship that you have prepared during your volunteering assignments, if copyright is automatically attributed to you by operation of law. You further agree not to exert any moral rights attributed to you with respect to such works of authorship. 

5.2 You hereby agree that the Company and its subsidiaries, affiliates, successors, representatives, assigns and designees as well as other persons as the Company may designate from time to time (collectively the “Authorized Parties”) shall have the irrevocable, absolute right and permission (but not the obligation) to use in perpetuity, your name, likeness, voice and biographical material and photographic material (including still or moving images of you, either alone or accompanied by other persons or material), in any manner and in any media without restriction as to number of uses, throughout the world, for the purpose of promoting, publicizing and advertising the Company, the Gratitude Hub and similar events and the respective activities of the Authorized Parties. This shall include any archiving, exhibition, results publication, communication to the public and distribution in any market by any means of telecommunication or distribution whatsoever, now known or later discovered, worldwide, in perpetuity and namely without limitation any exhibition, communication, and distribution by means of electronic, internet, motion pictures, photographs, radio, television, video discs, tapes and cassettes or any print media in, or in connection with, the Gratitude Hub.

5.3 This Clause 5 shall continue to apply after the termination of this letter, however caused. 

6. Disclosure of Conflicts of Interests 

 

6.1 A conflict of interest arises when your personal or financial interests in a matter are not consistent with those of the Company or your duties as a volunteer of the Company.  You agree to disclose to the Company in writing if you become aware that (a) you or any member of your family (including parents, spouse, siblings, offspring or non-family members with whom you have a close personal or business relationship) have any direct or indirect investment, loan, beneficial interest (i.e. as an owner, partner, beneficiary or otherwise) or other financial relationship with any supplier (of goods or services) or business partner of the Company; or (b) you or any member of your family receive entertainment, gifts, goods or services or other compensation directly or indirectly from any employee, supplier, partner or related partner of the Company or other company or person that the Company is conducting business with, or who is seeking to do business with the Company.  You warrant and represent that the information given to the Company pursuant to this Clause 6 is true, complete and accurate. In the event any such information changes, you undertake to notify the Company without delay, and in any event within seven days of such change.

7. Professional Qualifications 

 

7.1 If professional qualifications are required for any volunteering assignments that you provide to the Company, you must:

 

(a) remain fully registered at all times with the applicable professional bodies.  You are responsible for ensuring that you are fully registered and insured (if applicable) and that all renewals are kept up to date. Any costs associated with registration and insurance are to be paid by you;

(b) promptly notify the Company immediately of any changes with regards to your registration (if any); and

(c) maintain a high professional standard and meet any other professional requirements applicable to you (if any) as may be set down by the applicable professional bodies.
